Submitting a provider inquiry does not guarantee:

The Private Diaspora may approve, deny, remove, suspend, or terminate provider participation at its discretion, subject to applicable law and any written agreement in place.

Wellness, herbal, beauty, spa, fitness, massage, and bodywork services are not substitutes for medical care.

Participation may be subject to additional waivers, releases, provider terms, event rules, payment terms, safety disclosures, and cancellation policies.

Experiences and events may involve risks, including but not limited to:

  • Food allergies or reactions

  • Physical activity

  • Outdoor environments

  • Water-related risks

  • Venue changes

  • Provider cancellation

  • Illness or injury

You agree to participate voluntarily and accept responsibility for your own health, safety, choices, and conduct.

The Private Diaspora may cancel, reschedule, modify, or deny participation in events or experiences for safety, operational, cultural, legal, provider, weather, or business reasons.

13. Payments, Billing, and Fees

Prices, fees, deposits, membership rates, event fees, experience fees, provider costs, and service charges may be listed on the website, invoice, checkout page, proposal, membership agreement, or separate written communication.

Fees are subject to change unless otherwise agreed in writing.

By submitting payment, you authorize The Private Diaspora or its payment processor to charge your selected payment method for the applicable amount.

Failed, declined, reversed, or disputed payments may result in paused access, cancellation, additional fees, or collection action where permitted by law.

14. Refunds and Cancellations

  • Membership fees may be non-refundable once billed

  • Partial-month refunds may not be provided

  • Event and experience fees may have separate cancellation rules

  • Deposits may be non-refundable

Members and applicants are responsible for reviewing applicable terms before purchasing, booking, or submitting payment.

15. Intellectual Property

All website content and Company materials are owned by The Private Diaspora or its licensors, including but not limited to:

Violations may result in removal from community spaces, suspension, or termination of membership.

The Company’s total liability for any claim related to website use, public content, applications, inquiries, or services shall not exceed the amount paid by you to The Private Diaspora during the six months preceding the claim, or $100 USD if you have not paid any fees.

Some jurisdictions may not allow certain limitations, so this section applies only to the extent permitted by law.

23. Indemnification

You agree to indemnify, defend, and hold harmless The Private Diaspora, its owners, founders, officers, team members, contractors, partners, affiliates, and representatives from and against claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your violation of law

  • Your misuse of member or provider information

  • Your participation in events or experiences

  • Your failure to conduct due diligence

  • Your misconduct, negligence, or fraud

24. Force Majeure

The Private Diaspora is not responsible for delays, cancellations, disruptions, loss, or failure to perform caused by events beyond reasonable control, including but not limited to weather, power outages, internet outages, government actions, travel restrictions, strikes, civil unrest, provider cancellations, transportation failures, natural disasters, road conditions, illness, pandemics, currency issues, banking delays, or emergencies.

 

25. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Ghana, unless another jurisdiction is required by applicable law.

Before initiating formal proceedings, the parties agree to first attempt to resolve disputes through good-faith written communication.

If the dispute cannot be resolved informally, the parties agree to resolve the dispute through the appropriate courts or dispute resolution process located in Accra, Ghana, unless otherwise required by applicable law.

Attorney review is required to finalize this section based on where the business is registered, where users are located, and where services are performed.

 

26. Changes to These Terms

We may update these Terms from time to time.

When updated, the “Last Updated” date will be revised.

Material changes may be communicated by website notice, email, member portal notice, or another appropriate method.

Your continued use of the website or services after changes are posted means you accept the updated Terms, unless otherwise required by law.

 

27. Severability

If any section of these Terms is found invalid, illegal, or unenforceable, the remaining sections will remain in effect.

 

28. Entire Agreement

These Terms, together with the Privacy Policy, Membership Agreement, Provider / Vendor Agreement, Community Guidelines, Refund Policy, waivers, addenda, invoices, or other written agreements where applicable, represent the applicable agreement between you and The Private Diaspora for your use of the website and related services.
